4. INTELLECTUAL PROPERTY
- All intellectual property rights in materials created solely by NT prior to this Agreement shall remain the property of NT.
- Any training materials co-developed with TTC for specific programmes shall be jointly owned, and neither party shall use them for other commercial purposes without mutual written consent.
- NT grants TTC the right to use NT’s name, profile, and workshop content for marketing, grant submission, and client proposals under this partnership.
5. CONFIDENTIALITY
Both Parties agree to maintain confidentiality of any proprietary information, client data, or internal processes shared during this partnership, and not to disclose to third parties without written consent, except as required by law.
6. TERM AND TERMINATION
- This Agreement shall commence on the date first above written and shall remain effective unless terminated by either Party with 30 days written notice.
- TTC reserves the right to terminate this Agreement immediately if NT breaches any terms herein or fails to deliver training satisfactorily should complaint by the client.
7. GENERAL
- Nothing in this Agreement shall constitute or be deemed to constitute a joint venture or employment relationship between the Parties.
- This Agreement is governed by the laws of Malaysia. Any disputes arising shall be settled in good faith, failing which, be referred to the jurisdiction of Malaysian courts.
8. APPENDIX
Appendix A – Non-Disclosure Agreement (NDA)
1. Confidential Information
Each Party acknowledges that during the partnership, it may receive or have access to confidential information of the other Party including but not limited to client lists, proposals, materials, and business processes.
2. Obligation of Confidentiality
Both Parties agree not to disclose, use, or reproduce any confidential information for any purpose other than performing obligations under this Agreement without prior written consent from the other Party.
3. Survival
This NDA obligation survives termination or expiry of this Agreement.

FAQ
1) Am I free to conduct training by myself/ other Training Provider?
Yes, you are free to do so without any notice given to TTC.
2) Any commission/ referral fee should I introduce a lead to you to become a HRDC Trainer?
Yes, based on the package below RM 4000 (which is range from RM3k to 4k), you will be getting a commission of RM500.
Please take note that TTT package is subject to change. Hence it’s good to refer the lead to us without telling the final price/ package.
3) Any commission/ referral fee should I introduce a lead to attend workshop?
Yes, based on the nett price (means after deduct 4% HRDC and 8% SST), you will be getting a minimal 10% fees as introducer who bring in the deal.
4) Do you charge extra for outstation workshop? What about air ticket/ accommodation?
For any case about travelling cost, accommodation etc, trainer should set the agreement with the client/ employer directly.
Please refer to clause 3.1.1 or 3.1.2 about fees structure.
